Referral Program Terms
Soundfox is operated by ZeroEnd Technology AB.
These Referral Program Terms (the “Referral Terms”) govern the Soundfox referral programme (the “Programme”) operated by ZeroEnd Technology AB (“ZeroEnd”, “Soundfox”, “we”, “us”, or “our”). They form part of, and supplement, our Terms of Service; words defined there have the same meaning here. If there is any conflict, these Referral Terms govern the Programme, and the Terms of Service govern everything else. The Programme is a promotional benefit, not part of the paid Services you purchase, and we may change or end it as described in Section 11.
1. How the Programme works
When you have an account, you receive a unique referral link. You can share your link with friends and colleagues. A person becomes a “Qualified Referral” when they:
- are a new Soundfox user who signs up through your link; and
- start a paid Pro or Ultra plan (monthly or annual) and complete their first payment through our payment processor (Stripe); and
- keep that paid subscription active and in good standing (not cancelled, lapsed, refunded, or charged back).
A referral only counts once the first payment has been received. Free-plan users, trials before the first payment, and reactivating or existing customers do not count as Qualified Referrals.
2. Your reward
When you have 3 Qualified Referrals active at the same time, you receive the Pro plan at no cost.
How the reward is applied depends on your own plan:
- If you are on the Free plan, we grant you the free Pro plan once you qualify.
- If you already pay for Pro, we stop charging your Pro subscription.
- If you already pay for Ultra, we apply a recurring discount equal to the then-current Pro plan price (for example, about US$14 per month) to your Ultra subscription.
To keep billing simple and fair, the reward takes effect from your next renewal date — we do not pro-rate or credit the unused part of a period you have already paid for. The reward is ongoing: it continues for as long as you keep 3 active Qualified Referrals (subject to Sections 4 and 11). We may apply the reward as a complimentary subscription, an account credit, or a discount, at our discretion.
3. What your referred friends get
Each friend who becomes a Qualified Referral also receives a one-time bonus of 2,000 seconds of premium dictation (about 33 minutes) added to their account after their first payment. This bonus is per referred account, has no cash value, and is reversed if their payment is refunded, withdrawn, or charged back.
4. Keeping your reward
Your reward lasts only while you maintain 3 active Qualified Referrals. A referral stops counting if that person cancels, downgrades to Free, stops paying (their subscription lapses or remains unpaid after retries), exercises a right of withdrawal, obtains a refund, issues a chargeback, or closes their account.
If your number of active Qualified Referrals falls below 3, you have a grace period of 30 days to restore it (for example, by having another friend subscribe through your link). If you are still below 3 at the end of the grace period, the reward ends — we do not wait for your next renewal to stop it.
We will give you reasonable notice (by email or in-app) when the grace period starts and when the reward ends. We will not silently charge you: when the reward ends, your account returns to its normal status —
- if you were on the Free plan before the reward, your account simply returns to Free at no charge; or
- if you had your own paid subscription before the reward, that subscription resumes at its normal price from your next renewal (unless you cancel before then).
5. Eligibility
To take part in the Programme you must:
- have a Soundfox account and be at least 18 years old;
- be located in a region where the Services are offered (the Services are not currently available to residents of the United Kingdom); and
- comply with the Terms of Service and these Referral Terms.
Referred friends must be genuinely new customers. A person may not be referred if they already have, or recently had, a Soundfox account.
6. Fair use and prohibited conduct
You must not abuse the Programme. The following are prohibited and will void rewards:
- referring yourself, or creating or using accounts that are not genuine, separate people (including duplicate accounts, accounts sharing your household or payment method, or accounts you control);
- buying, spamming, or incentivising sign-ups, or using bots, fake identities, or misleading claims to obtain referrals;
- using unsolicited messaging that breaches anti-spam or marketing laws; and
- any other attempt to game or defraud the Programme.
We may investigate suspected abuse and, in our reasonable discretion, withhold, reduce, or reverse rewards, disqualify participants, and suspend or terminate accounts in line with the Terms of Service.
7. Reversals
If a Qualified Referral’s subscription is refunded, withdrawn, or charged back, that referral did not truly qualify: it stops counting, and we may reverse any reward that was granted on the basis of it (including the referred friend’s bonus). Reversals follow the step-down and notice rules in Section 4.
8. No cash value; not transferable
Rewards have no cash value, cannot be exchanged for money, and are non-transferable. Rewards cannot be combined with other offers except where we expressly allow it. Referral links are for personal, non-commercial sharing only.
9. Taxes
You are responsible for any taxes that may apply to rewards you receive under the Programme.
10. Privacy
You share your referral link yourself; we do not ask you for your friends’ contact details in order to email them on your behalf. We process information about referrals (such as which account referred which new account, and subscription status) to run the Programme and prevent abuse, as described in our Privacy Policy.
11. Changes, suspension and termination of the Programme
The Programme is optional and promotional. We may change the thresholds, rewards, or rules, or suspend or end the Programme, at any time, with notice where required by law. Changes will not retroactively remove a reward you have already properly earned for a period you are already in, except where a referral is reversed under Section 7 or where we end the Programme for legal or abuse reasons.
